These Referral Program Terms ("Terms") govern participation in the Rogue Star Marketing referral program (the "Program"). "RSM," "we," and "us" mean Rogue Star Marketing. "Referrer" and "you" mean the person or business taking part in the Program. By submitting a referral, sharing your referral link, or completing the Referral Partner Setup form, you agree to these Terms.

1. How the Program Works

You introduce businesses to our monthly SEO subscription plans. When a business you refer becomes a paying SEO client and meets the requirements below, you earn a cash reward. You can refer a business by submitting our referral form or by sharing your personal referral link.

2. Eligibility

Anyone 18 or older may take part, including current RSM clients. You may not refer yourself, your own business, or a business you own or control. RSM employees and contractors are not eligible. We may decline or remove any participant at our discretion.

3. Qualified Referrals

A referral qualifies only if all of the following are true:

• The business is new to RSM. It is not already an RSM client, contact, or active lead when you refer it.

• The business is submitted by you through our referral form before it signs up, or it signs up through your personal referral link within 90 days of first visiting it.

• The business purchases one of our SEO subscription plans.

If more than one referrer refers the same business, credit goes to the first referral we receive. Our records determine which referral came first.

4. Reward Amount

You earn a one-time cash reward of $250 for each qualified referral. One reward is paid per referred client, no matter how many additional locations or brands that client adds. Rewards apply only to SEO subscription plans unless we agree otherwise in writing.

5. When a Reward Is Earned

A reward is earned when the referred client completes its 3rd successful monthly payment. If the client cancels or stops paying before then, no reward is earned. If a refund or chargeback reverses any of the client's first 3 payments, no reward is paid for that payment and the count of successful payments starts over.

6. How Rewards Are Paid

Rewards are paid through PayPal to the PayPal email you provide, within 30 days after the reward is earned. Before we can pay you, you must have a valid PayPal email and a completed W-9 on file through our Referral Partner Setup form. If anything is missing, we will hold the reward until you provide it. We are not responsible for delays or misdirected payments caused by incorrect information you provide.

7. Taxes

You are responsible for any taxes owed on rewards you receive. We may issue tax forms, such as Form 1099, when required by law.

8. Referral Conduct

You agree to:

• Refer only businesses you reasonably believe could benefit from our services

• Not send spam or unsolicited bulk messages, or contact anyone in a way that violates applicable law

• Not bid on, or run paid ads using, "Rogue Star Marketing," "RSM," or similar terms

• Not promise specific rankings, results, discounts, or prices other than those we publish

• Not present yourself as an employee, agent, or partner of RSM

We may withhold rewards for referrals that violate these Terms and remove you from the Program.

9. Relationship

You take part in the Program as an independent party. Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship, and you have no authority to make commitments on RSM's behalf.

10. Changes to the Program

We may change or end the Program, or update these Terms, at any time. Changes apply to referrals made after the change takes effect. Rewards for referrals made before a change remain payable under the Terms in effect when the referral was made.

11. Limitation of Liability

To the maximum extent permitted by law, our total liability arising out of or related to the Program will not exceed the rewards owed to you under these Terms.

12. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
