These SEO Service Terms ("Terms") govern all search engine optimization subscriptions purchased from Rogue Star Marketing ("RSM," "we," "us"). By completing checkout, you ("Client," "you") agree to these Terms. If you are purchasing on behalf of a business, you confirm you are authorized to bind that business.

1. Scope of Services

Both plans combine search engine optimization (SEO), answer engine optimization (AEO), and generative engine optimization (GEO) to improve visibility across Google Search, Google Maps, and AI search tools. On-site work is supported on WordPress, Webflow, and HighLevel websites. Each plan covers one website and one business location, subject to our initial assessment.

Services under each plan may include website audits and strategy, keyword and competitor research, on-page and technical optimization, SEO content, structured data and AI search optimization, Google Business Profile management, citation and local listing work, and monthly reporting. Local Search Growth provides a higher level of monthly activity than Local Search Essentials, along with additional services such as AI visibility monitoring, competitor tracking, and local link and mention outreach.

We determine the specific tasks, content, and volume of work each month based on your goals, competition, and what we expect to have the most impact. The type and amount of work may vary from month to month. Any examples, feature lists, or quantities shown on our website, in proposals, or in other materials describe how we typically approach the work. They are not guaranteed monthly deliverables.

Blog articles are not included. Communication is through monthly reports, and recurring strategy calls are not included. Work outside the scope of your plan, including website design or redesign, paid advertising, and blog writing, may be quoted separately.

2. Additional Locations and Brands

Each additional location or brand is billed at 20% off your plan's monthly price: $600 per month on Essentials and $1,200 per month on Growth. Additional brands receive their own Google Business Profile work, citations, and unique content so each brand competes on its own. The number of additional locations or brands is set at checkout or confirmed by us before payment. You must notify us before adding more.

3. Billing and Payment

Plans are billed monthly in advance through Stripe, starting on the date of purchase and renewing on the same day each month. There is no setup fee. By subscribing, you authorize us to charge your payment method on file each month until your subscription ends. We may change prices with at least 30 days written notice before your next billing date. Fees do not include applicable taxes.

4. Term and Cancellation

Subscriptions are month to month. Either party may cancel with 30 days written notice. Service and billing continue through the 30-day notice period. No refunds or prorated credits are issued for partial months or unused services. To cancel, notify us in writing at [email protected]. We may end service immediately if you materially breach these Terms.

5. Failed Payments

If a payment fails, all work pauses immediately until payment is received. Stripe will retry the charge, and we will notify you so you can update your payment method. If payment is not received within 14 days of the failed charge, your subscription will be cancelled. Paused time does not extend deliverables or reduce amounts owed.

6. Client Responsibilities

You agree to:

• Grant the account access we request (such as your website, Google Business Profile, Google Search Console, Google Analytics, and domain or DNS) within 3 business days of our request

• Provide accurate business information, photos, and service details

• Tell us promptly about changes to your business, such as new locations, services, hours, or phone numbers

• Keep your website, hosting, and domain active and in good standing

Delays in access or information may delay results and do not reduce fees.

7. How We Work

You are hiring us as the experts on search strategy. We plan, create, and publish optimizations and content on your behalf without requiring approval of each item. We may ask for your input on early content to learn your preferences. If you want something changed or removed after it is published, tell us and we will make reasonable revisions. You are responsible for the accuracy of the business information you provide.

8. No Ranking Guarantees

Search engines, map platforms, and AI tools control their own results and change them often. We do not guarantee any specific ranking, traffic, lead volume, AI mention, or revenue outcome. Results depend on factors outside our control, including competition, platform algorithms, and your reviews and reputation. Suspensions or changes to your Google Business Profile made by Google or third parties are outside our control.

9. Ownership of Content and Accounts

You own your website, domain, Google Business Profile, and other business accounts. Once paid for, the content we create for you under your plan belongs to you, including after cancellation. We keep ownership of our internal tools, software, processes, templates, and reporting methods. When service ends, we will remove our access to your accounts.

10. Confidentiality

Each party will keep the other's non-public business information confidential and use it only to provide or receive the services. We share your logins and business data only with team members and contractors who need them to deliver your services and who are bound by confidentiality obligations.

11. Limitation of Liability

To the maximum extent permitted by law, our total liability arising out of or related to these Terms or the services will not exceed the fees you paid us in the one month before the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or lost-profit damages, including losses caused by changes to search engine, map, or AI platforms. Except as stated in these Terms, the services are provided without other warranties.

12. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

13. Changes to These Terms

We may update these Terms. We will notify active clients by email at least 30 days before changes take effect. Continuing your subscription after that date means you accept the updated Terms.
